Two POs report a Direct Business Transaction of 80,000 shares at RM3.36. The shares' previous-day VWAP was RM4.00 and they are trading normally. What further obligation arises for the POs?
RM3.36 is 16% below the previous-day VWAP of RM4.00, so the price falls within Schedule 4 (15% or more away for securities of RM1 or more). Under Rule 10.09(2) the PO must submit the details of buyer and seller, quantity and price, the basis of the price and the reason for the DBT by 12.30 p.m. on the next Market Day, obtain the client's declaration and keep the documents for 7 years. Prior approval 3 Market Days ahead (Rule 10.01(1)(d) and (2)) applies only where the quantity is below 50,000 units. Rule 10.09(1) does allow any agreed price, but the reporting duty in Rule 10.09(2) still attaches. Nothing prohibits the trade or allows it to be cancelled. The prior-approval route is for small DBTs under 50,000 units; larger off-price DBTs need after-the-event reporting instead.
