Jati Bhd will buy an office block for RM20 million from its major shareholder. The highest percentage ratio is 8%. Which of the following must Jati do? (i) Announce the transaction to Bursa Securities once terms are agreed (ii) Send a circular to shareholders and obtain their approval in general meeting (iii) Appoint an independent adviser before the terms of the transaction are agreed (iv) Appoint a Recognised Principal Adviser as main adviser for the transaction
With a highest percentage ratio of 8%, paragraph 10.08(1) requires an announcement (ratio of 0.25% or more), and paragraph 10.08(2) adds, for a ratio of 5% or more, a circular, shareholder approval in general meeting and an independent adviser appointed before the terms are agreed. The main adviser requirement in paragraph 10.08(4) applies only where a ratio is 25% or more, so (iv) is not required. Because the subject is real estate and the ratio is 5% or more, paragraph 10.04(1)(b)(ii) also requires a valuation. Source: Bursa Malaysia Securities Main Market Listing Requirements (consolidated as at 9 July 2026) paras 10.04(1), 10.08(1), 10.08(2), 10.08(4) (as at October 2026).
Stopping at shareholder approval and forgetting the independent adviser needed from 5%.
