Cendana Bhd, a public company, held its last AGM on 15 November 2025. Its financial year ends on 30 June 2026. Without an extension from the Registrar, by when must it hold its next AGM?
Section 340(2) of the Companies Act 2016 requires a public company's AGM to be held within six months of its financial year end and not more than fifteen months after the last AGM. Six months from 30 June 2026 is 31 December 2026; fifteen months from 15 November 2025 is 15 February 2027. Both limits apply, so the earlier date, 31 December 2026, governs. 15 February 2027 applies only the 15-month test. 31 October 2026 is 4 months, the Listing Requirements' annual report deadline. 30 September 2026 uses 3 months. Applying only one of the two AGM time limits instead of taking whichever falls first.
