Module 6 · Topic 1
Section 1 questions test whether you can put each player in the right box: the SC and its Shariah Advisory Council under the SCMA, the Minister's approvals under the CMSA, Bursa Malaysia Berhad and its subsidiaries, the central depository under SICDA, SIDREC and the Capital Market Compensation Fund, Bank Negara and the Companies Commission. Expect short scenarios that ask who approves, who decides or who pays, plus a few on the three boards, dealer's representatives and online trading security. In an open-book exam the marks go to candidates who know which Act or rule to open.

Section 21 sets the holding company's duties: an orderly and fair market, orderly depository dealings and clearing, prudent risk management, and immediate notice to the SC of matters threatening a subsidiary's ability to meet its obligations.
Trap: Naming the SC as approver of a 5% stake because the application is lodged with it. The SC only recommends; the Minister approves.
Takeaway: Minister approves institutions and big stakes; SC approves rules within six weeks; the public interest beats the exchange's own interest.
Section 15(1) of the SCMA lists the SC's functions. Know these by keyword:
Section 16 gives the SC all powers necessary for, in connection with, or reasonably incidental to performing those functions. The SCMA was last amended by Act A1539, in force 24 November 2017.
Trap: Giving the SC jobs that belong elsewhere: monetary policy and bank licensing are Bank Negara's; company registration is the Companies Commission's.
Takeaway: If it is about the capital market, its intermediaries or its institutions, it is an SCMA s.15 function.
